Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Rutherford Roundup (“the Site”), located at rutherfordroundup.com, operated by LumienHQ(“we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. Description of Service

Rutherford Roundup is a hyperlocal business directory serving Rutherford County, Tennessee. We aggregate publicly available business information and allow verified business owners to claim and update their listings. We do not guarantee the completeness, accuracy, or timeliness of any listing.

2. Accounts and Authentication

Certain features (such as claiming a listing or submitting a review) require you to create an account using a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must promptly notify us of any unauthorized use.

You agree to provide accurate information when creating an account and to keep that information current. We reserve the right to terminate accounts that violate these Terms.

3. Business Listing Claims

The claim feature allows authorized business representatives to take ownership of a listing. By submitting a claim, you represent and warrant that:

  • You are an authorized representative (owner, officer, or agent) of the business.
  • All information you submit is accurate and not misleading.
  • You will keep the listing information current after claiming.
  • You will not use the claim feature to misrepresent or impersonate another business.

We reserve the right to revoke a claim, revert edits, or remove a listing if we determine the claim was fraudulent or the information violates these Terms. Fraudulent claims may be reported to appropriate authorities.

4. User-Submitted Content

You may submit content to the Site, including reviews, photos, and business information (“User Content”). By submitting User Content, you grant LumienHQ a non-exclusive, royalty-free, worldwide, perpetual license to use, display, reproduce, modify, and distribute that content in connection with operating the Site.

You agree that User Content you submit will not:

  • Be false, defamatory, harassing, threatening, or obscene.
  • Infringe any third-party intellectual property, privacy, or publicity rights.
  • Constitute spam, unsolicited advertising, or promotional material.
  • Violate any applicable law or regulation.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.

We reserve the right to remove any User Content at our discretion and without notice.

5. Prohibited Conduct

You agree not to:

  • Scrape, crawl, or systematically extract data from the Site without our prior written permission.
  • Attempt to interfere with, compromise, or disrupt the Site or its servers.
  • Use automated means to access the Site in a manner that exceeds reasonable human usage.
  • Use the Site for any unlawful purpose or in violation of any applicable regulation.
  • Circumvent any access controls or authentication mechanisms.
  • Submit fake or incentivized reviews.

6. Intellectual Property

All content on the Site that is not User Content or third-party data (including design, logos, copy, and code) is owned by LumienHQ and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

7. Third-Party Services and Links

The Site may display links to third-party websites or rely on third-party services (including mapping, payment, and email providers). We are not responsible for the content, privacy practices, or terms of any third-party service. Your use of third-party services is governed by their respective terms.

8. Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT BUSINESS LISTINGS ARE ACCURATE, COMPLETE, OR CURRENT.

LISTING A BUSINESS ON THIS SITE DOES NOT CONSTITUTE AN ENDORSEMENT OF THAT BUSINESS BY LUMIEN HQ.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LUMIENHQ AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU EXCEED ONE HUNDRED DOLLARS ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless LumienHQ and its officers, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site; (b) User Content you submit; (c) your violation of these Terms; or (d) your violation of any third-party rights.

11. Modifications

We reserve the right to modify these Terms at any time. If we make material changes, we will update the effective date at the top of this page. Continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of the Site will be resolved in the state or federal courts located in Rutherford County, Tennessee, and you consent to personal jurisdiction in those courts.

13. Termination

We may suspend or terminate your access to the Site at any time, for any reason or no reason, with or without notice. All provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, and limitations of liability.
